We are very serious about our fiduciary responsibility. We strictly adhere to compliance standards established by the Securities and Exchange Commision (SEC). All of our investment vehicles are established by our real estate and SEC attorney team.
A syndication is the truest form of passive investment in real estate. This model pairs general partners who take on full management and unlimited liability responsibilities of an asset along with limited partners. Limited partners accept minimal risk exposure since their liability is limited to the amount they choose to invest. They help fund projects in exchange for prioritized, truly passive returns on their investment.
We utilize either Rule 506(b) or 506(c) to structure our syndications compliantly. Rule 506(b) allows up to 35 sophisticated investors and an unlimited number of accredited investors to participate, whereas Rule 506(c) syndications are only available to accredited investors.
An accredited investor is someone who earned at least $200,000 over the last year individually or $300,000 jointly if married and expects to make at least the same amount next year, or someone with at least a $1 million net worth, not including their primary residence. A sophisticated investor is someone who has invested their money previously but does not meet the income or net worth requirement.
A joint venture is an investment partnership in which all members participate actively in the operations of a project and are voting members. All members share the full risk and reward of participating. Their roles and responsibilities are defined in the operating agreement. Due to the shared risk and active investment requirements of participating in a joint venture, we are highly selective about who we partner with utilizing this structure to ensure we all add value to each other by understanding each other’s strengths and weaknesses, aptitudes, and skills.
Opportunity Zone Fund
We have partnered with OZ Growth Fund to offer select projects in the Southwest United States that offer the virtual elimination of capital gains taxes on investments made within the zone that are held for a minimum of ten years. There are more than 8,700 Opportunity Zones in the United States and its territories that offer this additional investment incentive in exchange for placing funds into areas where local governments have deemed commercial and residential investments are most needed.
